What we think we know about boards - Revisiting some classics and moving forward
Abstract
Residing at the top of the organization, boards of directors are tasked with setting the strategic direction of the organization and ensuring that top management acts in the best interest of the organization. A number of classic studies suggested that board characteristics impact director, board, and firm performance. We revisited three of these classic studies and provide an update to what we think we know about boards. Our findings from two meta-analyses and a mixed methods study show that (a) one board size does not fit all firms and contexts, (b) not all board characteristics, board processes and board tasks are the same, and (c) there are ways to mitigate negative consequences for directors captured by social dependence. We highlight the need for more nuanced frameworks to understand how and when boards can benefit the firm.
